CONFIDENTIALITY
& NDA

1. Parties

This undertaking is between Morleys (Fast Foods) Ltd (registered office: 9 Marlands Road, Ilford, Essex, IG5 0JL) ("the Disclosing Party") and the individual or entity receiving confidential information ("the Receiving Party").

2. Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by the Disclosing Party — whether in writing, verbally, or electronically — relating to the business, operations, finances, strategies, recipes, systems, franchise model, supplier relationships, or any other proprietary matter of Morleys (Fast Foods) Ltd.

Excluded is information that: (a) is or becomes publicly available through no breach of this undertaking; (b) was already in the Receiving Party's possession prior to disclosure; (c) is independently developed without reference to the Confidential Information; or (d) must be disclosed by law, provided the Disclosing Party receives prompt prior written notice where permitted.

3. Obligations of the Receiving Party

• Keep all Confidential Information strictly confidential and not disclose it to any third party without prior written consent
• Use the Confidential Information solely for evaluating a potential business or franchise relationship
• Apply at least the same standard of care as applied to its own confidential materials, and no less than reasonable care
• Restrict disclosure within its own organisation to those with a genuine need to know, bound by equivalent obligations
• Not copy or reproduce any Confidential Information beyond what is strictly necessary

4. Intellectual Property

Nothing in this undertaking grants any licence, right, title, or interest in any Confidential Information, intellectual property, trade marks, or know-how belonging to Morleys (Fast Foods) Ltd. All Confidential Information remains the exclusive property of the Disclosing Party.

5. Return or Destruction of Information

Upon written request, the Receiving Party shall promptly return or securely destroy all Confidential Information in its possession and confirm in writing that it has done so.

6. Duration

Obligations remain in force for five (5) years from the date of first disclosure, or until a formal written agreement supersedes this undertaking, whichever is earlier.

7. Remedies

Any breach may cause irreparable harm for which monetary damages alone may be insufficient. The Disclosing Party shall be entitled to seek injunctive relief and any other equitable remedy, in addition to any damages or other remedies available at law.

8. Governing Law

This undertaking is governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
